Partner Terms
Version 2026-10-12 · Effective October 12, 2026
The subscription terms for recruitment agencies using the Kyrolane Partner Portal.
Parties and how you accept
These Partner Terms are between the agency customer (“you”) and Kyrolane, an Ontario business, at Kyrolane, Ontario, Canada.
They cover the Partner Portal at https://www.kyrolane.com, including the client CRM, candidate records, blind profiles, and outreach sent from your organization’s mailbox.
An organization is created by our team, not by a public checkout. These terms apply when your organization record stores an acceptance, or when you sign a copy, or when you use the portal after we have given you these terms. Acceptance of version 2026-10-12 can be stored on the organization together with acceptance of Data Processing Addendum version 2026-10-12. Those fields are optional. Existing organizations are not migrated.
People on your team must be your personnel or contractors. Job-seeker use of the workspace is governed by the Terms of Service, not by this document.
Licence
We grant you a non-exclusive, non-transferable licence to use the Partner Portal during an active licence, for your internal recruiting and placement work, within the seat limit and hosting tier on your organization.
Shared is the multi-tenant portal. Private is a dedicated instance and database arrangement, provisioned manually, at a price that starts at the catalog rate and may be higher on a quote.
You may not resell the portal as a standalone software product, scrape it to build a competing dataset, or share seats beyond the seat limit.
Seats
Shared includes 5 seats. Private includes 25 seats. A seat is an active member of the organization. If you need more seats than the plan includes, the monthly price stored on the organization must be above the catalog price. Otherwise the licence terms are not valid and we will not raise the seat limit.
You are responsible for who has access and for removing people who leave. Coach and admin roles are as shown in the portal.
Fees, invoicing, and taxes
Unless a different monthly amount is stored on the organization, Shared is 999 USD per month and Private is from 2,499 USD per month. Placement fees you record in the portal are your fees. We do not collect placement fees from candidates or employers.
Partner licences are not bought through the job-seeker Stripe checkout. We invoice the monthly fee. Invoices are due as stated on the invoice, and if the invoice is silent, within 30 days. Late amounts may be suspended for non-payment as described below.
Fees are exclusive of taxes. You are responsible for sales, VAT, GST, or similar taxes, other than taxes on our net income. Where we must collect a tax, we will add it to the invoice.
We may change the catalog price for new terms or renewals. We will tell the organization contact email before a higher price applies to your next period. The price stored on your organization stays as stored until we agree a change with you.
Term and renewal
The licence runs until the end date stored on the organization. If there is no end date, that is only valid when we have recorded that the licence does not expire. A licence with no end date continues month to month until either party ends it.
Either party may end a month-to-month licence with 30 days’ notice to the other. You may also ask us to suspend or close the organization. If an end date is stored, the licence ends on that date unless we extend it.
Ending the licence does not erase fees already due. Data return and deletion are below.
Suspension
We may suspend the portal if the licence status is suspended or expired, if the organization is paused or deleted, if fees are overdue, or if we must suspend to address a security or legal risk. The product treats a suspended, expired, paused, or deleted organization as not licensed.
We will restore access when the reason for suspension is fixed, unless we have ended the licence. Suspension does not by itself delete customer data.
Customer data
You own the candidate, client, and contact information you upload or create in the portal (“Customer Data”). You keep all rights in it. You give us a licence to host, process, and display Customer Data only to provide the portal, to secure it, and to follow this agreement.
For Customer Data, you are the controller (or the equivalent business under Canadian law) and Kyrolane is the processor (or service provider). The Data Processing Addendum is part of these terms and prevails on processing, transfers, and subprocessors.
Job seekers who opt into the Kyrolane talent pool are not your uploaded Customer Data. We are the controller for that account. If you contact them, you become an independent controller for that outreach. If you then store a copy in the portal, that copy is Customer Data.
The company directory we compile is our data, not Customer Data, except for contacts you add yourselves.
Your responsibilities
You are responsible for having a lawful basis, and any consent you need, before you upload candidate or client data and before you email anyone. You will not instruct us to process data in a way that breaks the law.
Outreach from the portal sends from your organization’s mailbox. The product adds a compliance footer: your agency name, the postal address stored on the organization, an unsubscribe link, and a line that the message was drafted with automated matching and a recruiter chose to send it. Sending is blocked until a postal address is saved. You must not remove those elements when the law requires them.
You are responsible for employment and recruiting rules that apply to your mandates. That includes pay-transparency duties, and duties that apply when you use automated tools in hiring. Examples include New York City Local Law 144, where it applies to your automated employment decision tools, and the EU AI Act duties of a deployer of a high-risk or transparency-triggering system, where those duties apply to you. Kyrolane does not file those notices or bias audits for you.
Commercial pitches to addresses that are not an opted-in Kyrolane member or an existing roster relationship need a stored basis: a published source, express consent, or an existing relationship. A pattern-guess, Hunter-only, or Apollo-only address is not enough for that mail. Your own candidates can be emailed on the relationship that starts when they are on your roster.
Follow-up automation is off until you enable it, and it sends the template you wrote, not a freshly generated draft.
Matching assists. It does not decide.
Ranking, keyword match, and semantic match are assistance for your recruiters. They do not hire, reject, or rank someone for an employment decision in the legal sense. A person on your team decides whether to contact a candidate and whether to present them to a client.
Recruiter Assistant will not send a message until the message is approved. Semantic matching, which uses OpenAI embeddings, is off unless we enable it. While it is off, scores are keyword matches.
The blind-profile tool is designed to omit the candidate’s name, email, phone, web links, and employer names, and to keep role titles and skills. Review the file before you send it. It is not a guarantee that every identifier is gone.
Read the Responsible AI page for the short public explanation you can share with candidates.
Warranties
We warrant that we will provide the portal with reasonable care and that we have the right to grant the licence.
You warrant that you have the rights and the lawful basis to upload Customer Data and to send the messages you send, and that your instructions comply with law.
Except for the warranties in this section, the portal is provided as is. Implied warranties are disclaimed to the extent the law allows. This disclaimer does not affect liability that cannot be disclaimed.
Availability
We will use reasonable efforts to keep the portal available. We do not promise a specific uptime percentage, service credits, or a public status page. Maintenance, dependency outages, and suspension for the reasons above can interrupt access. This is an effort commitment, not a credit-bearing service level agreement.
Liability cap
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
Each party’s total liability arising out of these terms in a 12-month period is limited to the fees you paid us for the Partner Portal in the 12 months before the claim. If less than 12 months have been paid, the cap is the fees paid in that shorter period. If no fees have been paid, the cap is one month of the monthly price stored on the organization, or the catalog price if none is stored.
The cap does not apply to liability that cannot be limited, to fraud, to your obligation to pay fees, or to a party’s indemnity for third-party intellectual-property infringement under the next section. It does not limit data-protection liability further than the law of the relevant country allows.
Mutual indemnities
We will defend you against a third-party claim that the portal, as we provide it, infringes that party’s intellectual-property rights, and we will pay damages finally awarded or a settlement we approve. We may procure a right to keep using it, modify it, or end the licence and refund prepaid unused fees. We have no duty for claims caused by Customer Data, your combinations with other products, or your instructions.
You will defend us against a third-party claim arising from Customer Data, your outreach, your employment-law or AI-deployer duties, or your breach of these terms, and you will pay damages finally awarded or a settlement we approve, except to the extent caused by our breach.
The indemnified party must give prompt notice, reasonable cooperation, and control of the defence to the indemnifying party. Neither party will settle a claim that admits fault or imposes a duty on the other without consent, which will not be unreasonably withheld.
Confidentiality
Each party may receive non-public information from the other. The recipient will use it only to perform this agreement, protect it with reasonable care, and disclose it only to people who need it and are bound to keep it confidential, or when the law requires disclosure. Customer Data is confidential. This duty lasts for three years after the information is disclosed, and for as long as Customer Data remains in our systems.
Feedback you choose to give us about the product may be used to improve the Service without identifying you in public materials.
Return and deletion
Before the licence ends, or within 30 days after it ends, you may ask us for an export. The portal can export candidate and pipeline records that the signed-in admin, or a coach for records they are allowed to see, can access. There is not a single button that archives every collection.
The in-product delete action removes the organization, its members, its invites, its candidates, its candidate applications, and resume files stored for those candidates. It also removes that organization’s client companies, client contacts, client activity, client jobs, dashboards, and match embeddings for its data.
It keeps email suppression entries. Those records stay so an unsubscribe continues to be honored. Keeping them is a legal requirement. Other records we must keep, such as an invoice or a consent record, also stay. Backups age out on their ordinary cycle. Email info@kyrolane.com if you need an export or a deletion the button does not cover.
Data protection
The Data Processing Addendum (version 2026-10-12) applies to Customer Data and is incorporated here. Privacy questions about the portal can go to privacy@kyrolane.com.
Law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction. Mandatory data-protection laws of the country of the data subject still apply to that processing.
Before a formal claim, email info@kyrolane.com and give us 30 days to try to resolve it. We do not require arbitration, and we do not ask you to waive class or collective actions.
Other terms
We may update these terms by posting a new version and emailing the organization contact. The version stored on an acceptance, if we recorded one, is the version that was accepted. A material change applies on the next renewal, or in 30 days, whichever is later, unless the law requires a sooner change for security or legality.
Notices to us go to info@kyrolane.com. Notices to you go to the organization contact email.
If a provision is unenforceable, the rest remains. You may not assign these terms without our consent, except to a successor of your business. We may assign them to a successor of the portal.
You will not use the portal in violation of Canadian, United States, United Kingdom, or European Union export or sanctions laws.
Job-seeker terms, if you also have a personal account, are the Terms of Service. They do not replace these terms for the portal.
